Terms of service

The Service

QFormance is a cloud-based quality-management system that lets your organization author controlled documents, manage non-conformances, run audits, track risks and training, and related workflows. We may add, change, or remove features over time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

Accounts and eligibility

• You must provide accurate account information and keep it up to date.
• You are responsible for activity under your account and for safeguarding your credentials and authentication factors. Where your organization requires multi-factor authentication, you must maintain an approved factor.
• The Service is for organizational/business use and not intended for children.
• Access is invited-only within each organization; administrators control who may join.

Acceptable use

You agree not to:

• Use the Service unlawfully or in violation of others’ rights.
• Upload malware, or attempt to breach, probe, or disrupt the Service or its security.
• Access another organization’s data, or attempt to circumvent tenant isolation or access controls.
• Reverse-engineer, resell, or provide the Service to third parties except as permitted.
• Use the Service to store or transmit content you have no right to.

Your data and ownership

As between you and QFormance, your organization owns the content it puts into the Service (“Customer Data”). You grant us the limited rights needed to host, process, and display Customer Data to provide the Service. We handle Customer Data in accordance with our privacy policy. You are responsible for the accuracy and legality of the Customer Data you submit and for having the rights to submit it.

Subscriptions, fees, and refunds

Paid plans are billed in advance on a monthly or annual basis through our payment processor. Fees are non-refundable except as set out in our refund policy, which forms part of these Terms. Subscriptions renew automatically until cancelled. You can cancel at any time from the billing area; access continues through the paid period unless an eligible refund is taken.

AI and third-party features

Some features use third-party providers (for example, AI models, and Google or Microsoft integrations you enable). When you use them, the content needed for the request is processed by that provider to deliver the result. Your use of those features may also be subject to the provider’s terms. AI output can be inaccurate — you are responsible for reviewing it before relying on it, particularly for regulated or compliance decisions.

Intellectual property

QFormance and its licensors own all rights in the Service, including its software, design, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may use general learnings and aggregated, de-identified statistics to improve the Service.

Confidentiality

Each party may access the other’s confidential information in connection with the Service. Each party agrees to protect the other’s confidential information and use it only to perform under these Terms, except where disclosure is required by law.

Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, QFormance disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. QFormance does not warrant that the Service will meet every regulatory requirement applicable to your organization; you remain responsible for your own compliance.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Each party’s total liability arising out of or relating to these Terms will not exceed the fees you paid to QFormance in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or to liability that cannot be limited by law.

Indemnification

You agree to defend and indemnify QFormance against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms or applicable law, to the extent permitted by law.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. On termination, your data follows the lifecycle in our refund policy.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we’ll update the “Last updated” date and, where appropriate, notify you. Continued use of the Service after an update means you accept the revised Terms.

Governing law and contact

These Terms are governed by the laws applicable at QFormance’s principal place of business, without regard to conflict-of-laws rules, and the courts there have exclusive jurisdiction. Questions? Email legal@qformance.io.
